UNC made the biggest mistake in getting rid ah he, we'd be in a better position had he stayed.

AG reports FCB share sale to police, DPP

ATTORNEY General Anand Ramlogan has recommended that the First Citizens Bank (FCB) initial public offering transaction involving a bank official be referred to the Police Service, the Office of the Director of Public Prosecutions (DPP) and to the Securities Exchange Commission (SEC) for investigation.

Ramlogan disclosed recommendations drawn up after a review of the transaction — which saw former FCB Chief Risk Officer Phillip Rahaman purchase $12 million in shares, later resold — at the post-Cabinet press-briefing held at the Office of the Prime Minister, St Clair. FCB fired Rahaman when questions arose about the share transaction.

The Attorney General did not make any findings of fact or come to any conclusions over whether any offences had been made out, but stated the matter should be reviewed by the appropriate authorities in his view.

Ramlogan said the matter should be referred to the Office of the DPP and the police “for them to consider whether there is justification to lay several criminal charges arising out of violations of the Securities Act”.

He also recommended the matter be referred to the SEC, “as a matter of urgency” as it is the body established by Parliament with the responsibility “to ensure fair and equitable dealings in securities to protect the integrity of the securities market against any abuses arising from market manipulation, insider trading and any improper practices”. He said it would be up to the SEC to take “appropriate action under its expanded powers pursuant to the amendment piloted in 2012”.

Another recommendation was for the Ministry of Finance to review the relevant documents entrusted to the divestment secretariat to strengthen its expertise and capacity to oversee IPOs.

He highlighted several offences under the Securities Act which may be relevant to the lines of inquiry to be adopted, but did not come to any conclusion that these offences had been made out. The relevant offences, he said, were Sections 91, 94, 95, and 99 which ban false, misleading, artificial or deceptive trading practices. These offences attract stiff penalties, ranging from a fine of $2 million and five years in prison and $5 million and seven years in prison.

With respect to the role and position of the board of FCB, Ramlogan said it was clear the board did not take part in the day-to-day running of the bank and was not involved in the administration of the IPO.

“I think it is abundantly clear from the evidence and the documents submitted that whilst the comments made by the chairman (Nyree Alfonso) were clearly injudicious, premature and perhaps somewhat prejudicial, she made those comments based on the facts that were available at the material time and the board really played no role in the day-to-day administration and execution of the IPO which was the responsibility of the divestment secretariat and the executive management,” Ramlogan said.

Alfonso is reported to have suggested the share transaction was above board when questions first arose about it.

Asked if any action would be taken in relation to the board, Ramlogan twice stated the issue did not arise.

“The issue does not arise, we can find no evidence of misconduct,” Ramlogan said. “The board is not involved in the administration of the IPO.”

Ramlogan stated, however, there were concerns over controls and called on FCB to conduct its own review of its internal processes and control mechanisms.

He disclosed apparent policy breaches which took place at FCB.

“The first is that the Chief Risk Officer Mr Rahaman failed to file a declaration of commitments at other financial institutions and that form was required by the bank’s own internal policies,” the Attorney General said. “He did not, in fact, file the related documents with the human resources department as required by their policies.”

Ramlogan further stated, “the second matter is that the bank breached Rule 604 of the Trinidad and Tobago Stock Exchange — Reports of Trading by Directors and Senior Officers by failing to notify the Trinidad and Tobago Stock Exchange of the sale of 634,588 shares in FCB by the Chief Risk Officer on January 14, 2014”.

“This is a matter that ought not to have happened and therefore the bank will have to undertake a review of these shortcomings in terms of the management of the bank with a view to ensuring there is appropriate action and strengthening of its procedures.”

Ramlogan said Rahaman, as a bank employee, had a right to purchase the shares. He said the issue was rather whether those shares were purchased really for the benefit of non-employees.

“It is clear from all that has transpired that Mr Rahaman, by virtue of a series of loans which were taken, was able to purchase shares which raise a strong inference that the shares were perhaps held on trust and purchased on trust with the beneficial ownership for certain family members,” Ramlogan said. He did not come to a view on this matter. Ramlogan gave details of the transaction saying it bore several features.

“The first would be the fact that the offer to purchase was submitted on the very last day of the IPO; the second is the position he held and the fact that information may have come to his knowledge in that capacity that could be deemed insider information and relating specifically to the under subscription in the category called employees,” Ramlogan said.

He noted further, “the five one-page loan agreements which were unsecured; the amounts which were in proportion to the shares purchased and the re-purchase which occurred thereafter – in fact, the loan amounts were $58 short of $14 million – and of course, the fact that there were no other purchases of shares save and except for these shares offered up by Mr Rahaman”. However, Ramlogan also stated, “It was in fact a matched transaction.”

Ramlogan stated, “based on those features that pertain to this transaction, the issue would be whether it was in fact a device to cloak what was essentially a transaction whereby persons who are not employees of the bank and were therefore not entitled to purchase shares in that category were allowed to do so indirectly.”

On the role of Bourse Securities, if any, Ramlogan said that would be a matter for investigation by the SEC.

“Not enough information is known to make any finding one way or the other because there are salient facts that have to be ascertained including whether a commission was paid and what was the precise role played by Bourse Securities so that matter will of course be investigated, but on the information and the documents that were provided to me, it would not have been possible to make a finding and indeed it would not be my function to make a finding but rather to highlight and see whether there were potential violations and refer the matter to the appropriate authorities.” Bourse handled the purchase of the shares for Rahaman.

Bigger, faster, cheaper Tobago ferry

We’re going to get a bigger boat.

Transport Minister Stephen Cadiz announced yesterday that the Government will be leasing a new vessel to service the inter-island ferry route between Trinidad and Tobago to replace the downed Warrior Spirit.

The new vessel, sourced through a Spanish company from Gibraltar, is called the MV Superfast Galecia and is expected to arrive over the Easter weekend and will be in service in time for the Tobago Jazz Experience later this month.

The new vessel is 11 years old, Cadiz said, relatively young compared to the Warrior Spirit’s 34 years.

It is also bigger and has restroom facilities for the disabled, medical facilities and a prison cell.

It also travels at 22 knots, twice the speed of the Warrior Spirit.

Cadiz said the boat has been acquired for a 12-month lease at $48 million, $10 million less than the Warrior Spirit’s annual lease.

The Government is in the process of trying to acquire a new boat, but the request-for-proposal process will last for about 12 months, hence the length of this new lease, he said.

“This is a far better deal for Tobago and will be able to guarantee the freight service to the island.”

Cadiz said there will be some ancillary costs, including infrastructural modifications to the Port of Port of Spain to accommodate the vessel’s bigger size.

This vessel will be able to take all the freight to Tobago, he said, including cement, helping to alleviate the shortage on the island.

The acquisition has been necessary as last December the Warrior Spirit lost an engine, which the owners have not yet been able to repair.

The Government will now negotiate with the Spirit’s owners to break its contract and, while it may incur some costs, it believes it has a good cause.

Radisson opening a show of confidence in TT say PM

THE Radisson Trinidad hotel officially opened its doors on Monday evening with a cocktail reception attended by such high-profile guests as former President George Maxwell Richards and his wife, Dr Jean Ramjohn-Richards.

One of the night’s featured speakers was Prime Minister Kamla Persad-Bissessar, who said the renovation and rebranding of Capital Plaza to Radisson Trinidad was a clear indication of investor confidence in the local economy.

“We thank you for the employment opportunities that have been created for the people of Trinidad and Tobago. I’m advised that your staff is over 300, and so once again, as you partner with the citizens of TT, I can see only success in the future.”

The PM not only commended Issa Nicholas and his family for their commitment to this country’s tourism sector, she thanked the Carlson Rezidor Hotel Group, which owns the Radisson chain of hotels, for “the confidence they have reposed in the economy of TT, and for their substantial investment in our country.”

The 243-room hotel, best-known for its 360-degree revolving restaurant, also has a swim-up bar in its swimming pool, 24-hour business centre and 24-hour fitness centre. It’s located opposite Hyatt Regency on Wrightson Road, Port-of-Spain, in which Government has a “stake.”

However Trade Minister Vasant Bharath said he had no problem with Hyatt getting some competition from Radisson.

“Competition is very good. It creates a situation where people will offer a better service at a better price. Ultimately it’s the consumer who benefits.”

Bharath, one of several Government ministers who attended the Radisson’s formal opening, also revealed he had earlier on Monday “signed off on another large investment in the leisure sector.”

While he wasn’t able to share any other details just yet, the Trade Minister did say those would be forthcoming “within a few weeks. Therefore, more and more investors, both local and foreign, are looking at Trinidad as an investment destination of choice.”

Radisson Trinidad’s managing director, Daniel Nicholas, said the more than $30 million “transformation” bill for the hotel was a clear indication of his family’s confidence in the local economy.

“As owners, we are highly confident of the strength and longevity of the Trinidad economy, as are the Radisson executives. Investing in Trinidad is not only the right thing to do, it is the smart thing to do. To date, over $30 million was invested in the Radisson transformation. I gratefully give thanks to the Ministry of Tourism for demonstrating their commitment to working with hoteliers to improve the quality of the hotel product in Trinidad,” Nicholas stated.

A wide variety of dishes and drinks were served buffet-style to the guests afterward, including chocolate-dipped strawberries, mini pecan tarts, mini chocolate tarts, fresh fruit on skewers (one had the option of dipping them in the nearby chocolate fountain), lamb meatballs, vegetable and meat kibbehs and roti.

But the economy....only cos de global economy improving confidence improving locally, ent?

neither PNM now UNC did much to improve dis. We still an energy based economy. so to claim economic improvement is in spite of anyting UNC doing. similar to how PNM said dey best ting cos de economy grew at 10% lulz...yeah, grew cos ah high demand for gas, ent?

CNMG suspends ‘Face-Off’ programme

Caribbean New Media Group (CNMG) has suspended its current affairs programme, Face-Off amid reports the show was not sufficiently reflecting the work of the Government.
The show, which was launched last October, was broadcast on the company’s radio station 91.1 from 4 p.m. to 6 p.m. and carried on the company’s television station from 6 p.m. to 7 p.m.
It was hosted by Felipe Noguera and David Fraser and co-hosted three times a week by journalist Wesley Gibbings (since January) and twice a week by psychotherapist, Michelle Prashad.
The show was “suspended” without explanation yesterday morning via telephone calls to the entire team including, Fraser, Noguera, Gibbings, Prashad and producer, Lenn Thornhill.
Contacted for comment, Gibbings said: “During my time on the programme, I had linked the show with journalists in countries such as Malaysia, Ukraine, Guyana, Grenada and Venezuela for exclusive reports on the situation there.”
“Sad to say. I was not surprised. I’m in the business of news and information unfettered by political and other considerations. I say no more.”
Fraser told the Express he was informed of the show’s cancellation at 8:30 a.m. yesterday.
“No reason was given,” he said.
“We produce a very independent programme. We carry all sides. We are all journalists. We showed up today for 4 p.m. because we did not have any official correspondence and we were escorted out of the building by security,” he said.
“It is very shocking. One does not operate that way professionally. What happens to the people who go on the breadline? The show started off with ratings as high as morning show before it levelled off. The radio side of show was very popular. It was highly structured and well-produced,” said Fraser.
The Express understands Face-Off regularly featured opposition politicians and other activists opposed to the government. In one week, the Express understands, Pennelope Beckles, appeared twice and as well as former PNM minister, Mariano Browne and PNM senator, Faris al Rawi.
Chief executive at CNMG Ken Ali yesterday dismissed the suggestion that the show was suspended because it featured opposition members or that it had called for the resignation of former Independent Senator Subhas Ramkhelawan over his company’s involvement in the First Citizen’s Initial Public Offering (IPO).
“I felt that Subhas should have resigned,” said Ali.
He said CNMG took a business decision to suspend the show.
“It was costing us a lot of money. We did not get the returns we expected on it. It is being reviewed moving forward,” he said in a telephone interview yesterday.
Ali said the company lost heavily on the show, as it did not get the ratings or revenue it expected.

IMF report says "robust growth after several years of sub-par performance" Also "non-energy sector as "fairly buoyant".

But i ent seeing dis balling over moving Government ministries to Chaguanas. many countries have government offices not in the capital. You does tink every US Government office is in DC?

Moody’s Investors Service has reaffirmed Trinidad and Tobago’s Baa1 sovereign credit rating based on relatively high income le­vels, driven by the country’s large and diversified energy sector, Finance Minister Larry Howai said in a release yesterday.

Howai said Moody’s also based its evaluation on the expansion of the economy which, the analysts identified, was mainly due to the performance of the non-ener­gy sector, given the significant maintenance work that had to be done in the energy sector over the past year.

This expansion, Howai said, had been driven, to a large extent, by an aggressive fiscal stimulus programme which was complemented by an accommodative monetary policy stance.

The Moody’s report stated the T&T economy was expected to maintain a positive momentum into 2014, and forecast growth of 2.9 per cent in 2014, “further picking up to 3.2 per cent in 2015, driven by increased exploration activity and foreign investment in the energy sector, as well as, public infrastructure projects”.

Moody’s noted, too, “the sovereign credit profile also benefits from a moderate and affordable debt burden and a very strong external position anchored by a sizeable foreign exchange reserves buffer”.

The organisation classified Trinidad and Tobago’s strength as “Very High” due to its relatively moderate debt burden and comparatively high debt affordability.

Moody’s cited the Government’s balance sheet, which includes the country’s Heritage and Stabilisation Fund, as “a core financial institution to manage oil sector revenues” that has accumulated a balance in excess of 20 per cent of Gross Domestic Pro­duct, and was one of the factors that had contri­buted to the reaffirmation of the positive credit rating, Howai said.

The minister said the rating confirmation underlined “the success of the continuing efforts of the Government to improve the quality of life for citizens, transform the economy, create new jobs and provide improved services without deteriorating the country’s fiscal metrics”.

Regarding the downside risks identified by Moody’s, Howai said: “I am fully cognizant of the issues raised by Moody’s on the fact that the economy remains highly dependent on the energy sector and the exis­tence of infrastructure deficiencies as well as competitiveness challenges. We have commenced the process of bringing the fiscal accounts into balance and will close that gap further this year. In addition, we continue to focus on the deficiencies in our physical infrastructure as well as on the creation of a well diversified, knowledge-based economy.

“As such, we continue our programme of physical upgrades to the nation’s infrastructure and are in aggressive pursuit of a portfolio of structural reforms that preserve fiscal sustainability, promote business competitiveness and provide appropriately supportive regulatory environments.”

He said, regarding the latter, the Government has prioritised a number of structural reforms to foster economic growth and promote economic diversification and business competitiveness.

The Government’s structural reform agenda has revolved around pension reform, doing business reform, public debt and cash management, investment promotion and the development of special economic zones, institutionalising public private partnerships and a national broadband strategy, he said.

Moody’s Investors Service’s assessment of the performance of the Trinidad and Tobago economy was conducted at the beginning of this month.

Cheaper fertiliser on market by June

Farmers would soon be able to access cheaper fertiliser sourced and marketed by the State, said Food Production Minister Devant Maharaj. He was at the time speaking when the ministry started its programme to distribute $19.2 million to farmers as part of its incentive and flood relief programme. The event was held on April 16 at the National Agricultural Marketing and Development Corporation (Namdevco) wholesale market at Debe.





He said Namdevco has been mandated to source the cheapest possible fertiliser and sell to cost to farmers. He said the fertiliser, to be sought from the Far East, should be in the market by June. Maharaj said a similar model was used by the Seafood Industry Development Company (SIDC) that sells feed to fish farmers at cost price. He said this move by SIDC led to a resurgence of the tilapia industry.



Maharaj said Government is looking at incentives for large farmers who would soon be able to get incentives to purchase more than one tractor. Maharaj said the ministry prepared 986 incentive cheques and 23 flood claim cheques that were distributed to farmers from the areas of Victoria, Mayaro, Nariva and St Patrick. Maharaj said cheques have also been prepared for counties in both the Regional Administration North and the Fisheries Division.



Maharaj said: “As we examined the crippled agriculture sector left behind from decades of neglect by the former administration, we recognised that the Agriculture Incentive Programme and the flood relief packages available to farmers were stuck in a bygone era. The incentives and relief offered failed to address the dynamic agriculture environment. The incentive programme and relief package that existed for decades under the former administration were like a damp match in a dark cave.



“In 2011, after a series of consultations a contemporary Agricultural Incentive Programme was launched, the buck did not stop there. The Ministry of Food Production also appointed a Multi-Sectoral Standing Committee for the Incentive Programme to ensure continuous improvement of the services offered.



Maharaj said: “The main goal of this revised Agricultural Incentive Programme is to stimulate the productivity, competitiveness and sustainability of the agriculture and fisheries sector. We have seen the number of applicants to the Agricultural Incentive Programme expand exponentially since its revision, and this surely indicates the new and renewed interest in the agriculture sector.”



Maharaj said the Ministry of Food Production will continue to engage in a significant amount of work and expend resources to ensure that there is a supportive and enabling agricultural environment to facilitate agricultural ventures. Maharaj said incentives are in place to:
• Encourage youths in agriculture in light of an ageing farming population
• Encourage an increased level of mechanisation to enable agriculture to be technology driven
• Facilitate year-round agricultural activities, such as the promotion of on-farm irrigation systems
• Establish protected agricultural systems such as green houses and shade houses
• Improve husbandry practices and pasture management for increased productivity in the livestock sub-sector
• Support the sustainable management of fishing operations
• Encourage new investment in the sector via the development and expansion of agribusiness ventures; and
• Support the establishment of post harvest facilities.



Regarding flood relief, Maharaj said under the former administration, cobweb settled on the relief package, which was last updated in 1986. He said: “Imagine you were being compensated for produce in 2010 based on 1986 prices. This administration devised a contemporary relief package for the modern day farmer. For the first time, we have expanded assistance to include both crop and livestock farmers and fisherfolk.”



Maharaj said provisional data obtained from the Central Bank on the quarterly gross domestic product showed that the agriculture sector, for the first time in 40 years, experienced five consecutive quarters of growth from the first quarter of 2012 to the first quarter of 2013.

or you could ask them in the survey...but then again they could lie.


Apparently its just a survey they do...from what I heard being discussed on the radio.

cant seem to find anything on their website stating the criteria or what data they use to derive this rating
