Thank you, I see the board is also considering a rights issue.

MPC Caribbean is a good buy. The PPA for those agreements are 20 years plus with little variability on cashflow. Ansa made a good decision to partner with them.

Heard it had something to do with TSTT. NFM has also had a history of delaying financials too.

Not necessarily so. You have to do the math with the stocks to see their true value - dividends, EPS etc.

If you had bought at the prices I did 15 years ago, you would be smiling.

If you think they are expensive today, think about 20 years from now.

Dollar Cost Averaging is a good way to buy.

I won't touch Endeavor Holdings with a 10 foot pole.

Same people who wanted Stallion Properties IPO is the same people doing this. They trying to pay off debt NO CREATION OF SHAREHOLDER VALUE.

It already fishy, a 60% debt to equity but times interest earned is above 3 times (excluding property gains). No way that sustainable. I checked expenses and they slashed a lot of maintenance and miscellaneous expenses in 2018 FY.

They also pay themselves a heavy dividend. Retained earnings is low prior to 2018. A 34 million dividend payments whereas dividend payment was 2,500,000

Share Capital is 32,200,000 so they paid themselves a 106% dividend prior to 2018 and then reduce it. So they took out all the cash before 2018 IMO.

Additionally, the public gets access to 1,438,744 shares That's about 4% of the company. Assume next year dividend is 0.58 per share which is payout ratio of 45%, the total income allocated to shareholders is 840,000.

Finally no foward looking statements or director salary info.

Yes that dividend change is a bit odd

Basically buying into a very tiny minority of a family run business

So I figured out why the listing.

After reading the notes, they are listing on the SME market. Companies that list there will have to pay corporate taxes of 10%. Their effective tax rate is 33%.

So they offering 4% of their company to the public.

It seems to me that they already have the minimum 25 shareholders to beat the requirement and they already pass the minimum listing market value of $5 mil.

how they fulfilling this rule
-------------
7. Public distribution
Following the initial public offering, the issuer must have a minimum of 25 shareholders holding at least 30% of the
new shares issued by the company. These shareholders must not be associated with the Directors, Senior Officers,
Connected Persons and the holders of the ten (10) largest blocks of securities issued.
--------------

so an sme company with assets almost $900m

It seems they figured out who they selling to as I said before.

" Although 1,439,744 common shares will be offered to the public pursuant to the IPO, 33,442,944 common shares will be listed and registered on the SME"

"It is intended that the EHL Shares will be listed on the small & medium enterprise (SME) market (the ‘SME Market’) on the TTSE (subject to receipt of all requisite regulatory approvals). "

Lol are you this daft. Come on you never heard about cross trading. The FCB scandal should have rung some bells on this one. That is an easy hurdle to over come with regards to the 25 shareholders and indirect interest.

Now as for the market capitalization. That’s market CAP NOT ASSET VALUE. It seems me that they made a mistake here what they intend to do is list amend it to create a holdings company of EHL 4%. Similar to Stallion, so if they list the 4% of company then it well below the market cap limit. However if they have the remaining 96% of preference shares then that still means the under the limit.

Well that market cap issue is somewhat of a loophole that the ttse/impsbert need to address
